Legal Function & Contract Management: Lead the negotiation, drafting, review, and execution of a wide range of complex agreements critical to our client's operations (e.g., property transactions, facility management, equipment supply, and commercial contracts). Ensure all agreements are legally sound, mitigate risks, and align with our client's strategic objectives. Conduct thorough due diligence for compliance with local and international laws. Manage the engagement and performance of external law firms, serving as the primary liaison, and maintaining detailed records of legal engagements.
Dispute Resolution & Litigation Oversight: Strategically manage the resolution of conflicts, disputes, claims, or litigation involving our client's organization to minimize disruption and reputational harm. Conduct comprehensive risk assessments, develop mitigation strategies, and prepare legal documentation. Support the supervision of external solicitors and proactively identify potential legal vulnerabilities to recommend preventive measures.
Legal Advisory Services: Provide comprehensive legal research and advisory support to our client's Management and Senior Leadership on diverse legal, regulatory, and compliance issues. Deliver precise guidance on corporate governance, property transactions, intellectual property, labor law, and non-profit regulations. Present complex legal concepts clearly to non-legal stakeholders.
Policy Formulation & Compliance: Collaborate to develop and maintain internal legal and compliance policies that govern our client's operations across domestic and international jurisdictions. Draft and review policies related to ministry operations, risk management, data protection, and human resources. Conduct periodic policy audits and awareness training initiatives to foster a culture of compliance. Ensure rigorous adherence to laws governing nonprofit organizations, tax exemptions, and ministry activities. Oversee the preparation and timely submission of all mandatory regulatory filings (e.g., annual returns and tax compliance documents).
Regulatory Engagement & Audits: Develop a regulatory engagement strategy to sustain productive relationships with government agencies and external stakeholders. Manage responses to information requests, enquiries, or audits from regulatory authorities, safeguarding our client's interests. Proactively prepare for audits by conducting internal reviews.
Corporate Governance & Entity Management: Support the oversight of corporate governance and the management of all our client's entities globally. Facilitate Board of Trustee meetings, including agenda preparation, minute-taking, and follow-up on action items. Manage governance processes such as board appointments and conflict-of-interest disclosures. Serve as a key liaison between the boards of related entities and the Global Office/HQ to ensure alignment on strategic priorities.
Global Missions Support: Collaborate to design and execute a comprehensive strategy for our client's global missions and expansion. Provide strategic legal guidance to identify viable regions for establishing new expressions through in-depth market and regulatory analyses. Facilitate the creation of governance structures for new expressions, ensuring compliance with local laws and seamless integration with our client's global framework.
